Important: By accessing or using CannabisResource, you agree to be bound by these Terms of Use in their entirety. If you do not agree, you must immediately discontinue use of this platform. These terms include significant limitations on liability and a binding arbitration clause.

1. Acceptance of Terms

By accessing, browsing, or using CannabisResource (the "Platform"), located at cannabisresource.com, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use ("Terms") and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and NonprofitMedia, Inc. ("Company," "we," "us," or "our").

If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to both you individually and that organization.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

CannabisResource is an independent information and data aggregation platform providing publicly sourced data, analysis, research summaries, and editorial content related to the cannabis industry. The Platform aggregates information from public regulatory databases, government filings, academic research, and other publicly available sources.

The Platform is provided for informational and educational purposes only. It is not a regulatory authority, licensed legal service, medical provider, financial advisor, or compliance service.

3. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, DATA, INFORMATION, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, NonprofitMedia, Inc. expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
  • Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
  • Any warranty regarding the accuracy, completeness, reliability, timeliness, or usefulness of any data, content, or information on the Platform;
  • Any warranty that defects will be corrected;
  • Any warranty arising from course of dealing, course of performance, or usage of trade.

No oral or written information or advice given by NonprofitMedia, Inc. or its representatives shall create any warranty not expressly stated in these Terms.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NONPROFITMEDIA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages;
  • Loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings;
  • Damages arising from reliance on any information, data, or content on the Platform;
  • Damages arising from regulatory actions, fines, penalties, or legal proceedings related to cannabis law compliance;
  • Damages arising from business decisions made based on Platform data or analysis;
  • Damages arising from unauthorized access to or alteration of your data or transmissions;
  • Any other damages arising out of or in connection with your use of or inability to use the Platform.

These limitations apply regardless of the legal theory on which the claim is based — whether contract, tort (including negligence), strict liability, or otherwise — and even if NonprofitMedia, Inc. has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law. In no event shall our total aggregate liability to you exceed the greater of (a) the amount you paid to access the Platform in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

5. Indemnification

You agree to defend, indemnify, and hold harmless NonprofitMedia, Inc. and its officers, directors, employees, contractors, agents, licensors, affiliates, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your access to or use of the Platform;
  • Your violation of these Terms;
  • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right;
  • Any content you submit, post, or transmit through the Platform;
  • Your violation of any applicable law, rule, or regulation, including any cannabis-related law;
  • Any misrepresentation made by you;
  • Any business decision, regulatory action, or legal proceeding arising from your reliance on Platform data or content.

NonprofitMedia, Inc. reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

6. Data Accuracy & No Reliance

The Platform aggregates data from public sources including state regulatory databases, government filings, and third-party publications. While we make reasonable efforts to ensure accuracy, we make no representations or warranties regarding the completeness, accuracy, timeliness, or fitness for any purpose of any data on the Platform.

You expressly acknowledge and agree that:

  • All data on the Platform may contain errors, omissions, or outdated information;
  • You will independently verify all data before relying on it for any purpose;
  • You will not make any business, legal, medical, financial, or regulatory decision based solely on Platform data without independent verification;
  • NonprofitMedia, Inc. is not responsible for any errors or omissions in data sourced from third parties;
  • Data may not reflect real-time regulatory changes, license status updates, or enforcement actions.

8. Cannabis Law Compliance

Cannabis remains a controlled substance under federal law in the United States. Laws regarding cannabis vary significantly by jurisdiction. The Platform provides information about cannabis industry data and does not encourage, facilitate, or endorse any activity that violates applicable law.

You are solely responsible for:

  • Determining the legality of cannabis-related activities in your jurisdiction;
  • Complying with all applicable federal, state, local, and international laws;
  • Obtaining all required licenses, permits, and regulatory approvals;
  • Any consequences arising from your participation in cannabis-related activities.

NonprofitMedia, Inc. expressly disclaims any liability for your compliance or non-compliance with any cannabis-related law, regulation, or licensing requirement. Platform data regarding licensing, violations, or regulatory status does not constitute legal compliance guidance.

9. Intellectual Property

The Platform, including its original content, features, design, and functionality, is owned by NonprofitMedia, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without our express written permission.

Data aggregated from public sources remains subject to the terms and conditions of those original sources. Attribution to CannabisResource is required when citing original analysis or reports produced by the Platform.

10. User Conduct

You agree not to use the Platform to:

  • Violate any applicable law or regulation;
  • Scrape, harvest, or systematically extract data without written authorization;
  • Interfere with or disrupt the integrity or performance of the Platform;
  • Attempt to gain unauthorized access to any portion of the Platform;
  • Transmit any harmful, offensive, or disruptive content;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use the Platform for any commercial purpose without our express written consent.

11. Third-Party Links & Content

The Platform may contain links to third-party websites, databases, or resources. These links are provided for convenience only. NonprofitMedia, Inc. has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites. We do not warrant or endorse any third-party site or its content.

Your use of third-party sites is at your own risk and subject to the terms and conditions of those sites.

12. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of information as described in the Privacy Policy. We do not sell, share, or monetize personal information submitted through the Platform.

13. Termination of Access

NonprofitMedia, Inc. reserves the right, in its sole discretion, to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform immediately ceases.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted on an individual basis — class actions and class arbitrations are not permitted.

You waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration. This waiver applies to all claims whether based in contract, tort, statute, or any other legal theory.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Changes to These Terms

NonprofitMedia, Inc. reserves the right to modify these Terms at any time. We will indicate the effective date of the most recent revision at the top of this page. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
